Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website www.hireloomtalentgroup.com and any related platforms, tools, or services (collectively, the “Platform”) provided by 14297849 Canada Inc. o/a Hireloom Talent Group (“Hireloom,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1) What Hireloom Does (and Does Not Do)

1.1 Services Overview. The Platform facilitates:
(a) Talent visibility for job seekers (profiles, resumes, videos, certificates);
(b) Hiring support for employers (job posting assistance, distribution/sharing, screening tools, scheduling links, shortlists, references/background coordination);
(c) Optional add-ons (sponsored job ads, training coordination, licence/certificate checks); and
(d) Subscription and pay-per-use/flat-fee options.

1.2 Not an Employer or Temp Help Agency. Hireloom is not an employer, joint employer, temporary help agency, professional employer organization, employer of record, or recruiter of record. We do not hire, fire, employ, assign, subcontract, supervise, or pay candidates. We provide introductions and hiring support only.

  • Employers remain the employer of record and are solely responsible for wages, deductions (CPP/EI/income tax), benefits, WSIB/workplace insurance, OHSA compliance, policies, onboarding, supervision, scheduling, discipline, termination, and all employment agreements.

  • Job seekers understand that Platform use does not guarantee employment.

1.3 No Guarantee. We do not guarantee any job offer, hire, response rate, candidate quality, or outcome. Except where expressly agreed in a separate signed service agreement, all timelines are good-faith estimates only.

2) Eligibility & Compliance

You must be at least 18 and have legal capacity to enter contracts.

  • Employers affirm they are authorized to post roles and evaluate applicants and will comply with applicable laws, including the Employment Standards Act, 2000, Human Rights Code (Ontario) (no discriminatory postings/screening), OHSA, AODA, and applicable privacy laws.

  • Job seekers affirm that submissions are truthful and accurate.

3) Accounts & Security

Create an account for certain features. You agree to: (a) provide accurate information; (b) keep credentials secure; and (c) be responsible for all activity under your account. We may suspend or terminate accounts for breach, fraud, or misuse.

4) Plans, Fees, Taxes & Payments

4.1 Fees. Unless stated otherwise, fees are in CAD and exclusive of applicable taxes (e.g., HST 13% in Ontario).


4.2 Billing & Renewals. Subscriptions auto-renew unless cancelled before renewal. Per-use/flat-fee services are billed at order/trigger milestones, as specified at checkout or in a separate signed agreement.


4.3 Refunds. Except where required by law or expressly stated in a signed agreement, fees are non-refundable, including for partial periods.


4.4 Chargebacks/NSF. You are responsible for payment-processor chargebacks, NSF, or related bank fees; we may re-invoice these amounts plus actual processor/bank fees.


4.5 Pass-Through Costs. Third-party costs (e.g., paid job ads, background checks, course fees) are billed at cost with your pre-approval.

5) Acceptable Use & Job-Posting Standards

5.1 Acceptable Use. You will not: (a) misuse data or the Platform; (b) attempt to circumvent security; (c) scrape or reverse-engineer; (d) upload malware or unlawful content; (e) infringe IP; or (f) use the Platform for illegal, harmful, harassing, or deceptive purposes.


5.2 Job-Posting Standards (Employers). Postings must be accurate, lawful, non-misleading, and non-discriminatory (e.g., no prohibited criteria under the Human Rights Code). You are responsible for any required postings (e.g., union/government/ESA notices) and truthful pay, schedule, and qualification statements.


5.3 Screening Questions. You agree any screening questions comply with law and are job-related.

6) User Content & Licences

6.1 Your Content. You own the content you submit (resumes, videos, certificates, postings, messages). You grant Hireloom a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, and share your content as necessary to provide the Platform and services to you and, where applicable, to the counterparties you authorize (e.g., employers reviewing applicants; candidates applying to a role).


6.2 Anonymized/Aggregated Data. We may use de-identified or aggregated data to operate, improve, and analyze the Platform. We do not sell personal information.


6.3 Feedback. If you provide ideas or suggestions, you grant us a perpetual, irrevocable, royalty-free right to use them without restriction.

7) Privacy, Consent & Data Handling

7.1 Privacy Policy. Our Privacy Policy (incorporated by reference) explains how we collect, use, disclose, and safeguard personal information in accordance with applicable law, including PIPEDA.


7.2 Candidate Consent. Employers will only request background checks, references, or credential verifications where lawful and with candidate consent; Employers will use candidate data solely for evaluating candidates for the posted role and will protect it with reasonable safeguards.


7.3 Retention & Deletion. Personal data is retained only as long as necessary for hiring or as required by law; upon request, we will delete or de-identify data unless retention is required by law or for legitimate business purposes (e.g., security, fraud prevention, legal holds).


7.4 Security. We implement reasonable administrative, technical, and physical safeguards to protect personal information. No method of transmission or storage is 100% secure.

8) Third-Party & Optional Services

8.1 Integrations & Links. The Platform may link to or integrate with third-party sites/providers (e.g., job boards, background-check vendors, training providers). We do not control third parties and are not responsible for their content, terms, or performance.


8.2 Training Coordination. We may coordinate training (e.g., WHMIS, Working at Heights/Fall Arrest, First Aid/CPR). Course content, delivery, and certification are the responsibility of the third-party provider; provider terms may apply.


8.3 Sponsored Job Ads. If you opt for paid/sponsored job posts, media spend is at cost to you.

9) Intellectual Property (Our IP)

The Platform, including its software, design, trademarks, logos, and content (other than User Content), is owned by or licensed to Hireloom and protected by law. Except as expressly permitted, you may not copy, modify, distribute, publicly display, or reverse-engineer any part of the Platform.

10) Platform Changes, Availability & Support

We may modify, suspend, or discontinue features (with reasonable notice where practicable). The Platform is provided as-is/as-available and may be unavailable during maintenance or outages. We strive to support you but do not guarantee any particular service levels unless expressly stated in a signed agreement.

11) Disclaimers

To the fullest extent permitted by law:


(a) the Platform and services are provided “as is” and “as available”;


(b) we disclaim all warranties, express or implied (merchantability, fitness, non-infringement, accuracy, availability);


(c) we do not guarantee employment, candidate responses, fit, or hiring outcomes; and


(d) except as expressly set out in a signed agreement, we do not verify identities, credentials, or references—those remain the Employer’s responsibility (we may coordinate such checks where requested and consented).

12) Indemnities

12.1 By Employers. Employers will defend, indemnify, and hold harmless Hireloom, its affiliates, and their directors/officers/employees/contractors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) Employer’s postings, hiring decisions, or employment practices; (b) violation of law (ESA, Human Rights Code, OHSA, AODA, etc.); (c) misuse of candidate data; (d) non-payment or chargebacks; or (e) claims by candidates/employees relating to wages, hours, termination, benefits, WSIB, or payroll remittances.


12.2 By Job Seekers/Users. Users will defend and indemnify Hireloom from claims arising from their content, misconduct, or violations of these Terms.

13) Limitation of Liability

To the fullest extent permitted by law:


(a) in no event will Hireloom be liable for indirect, incidental, special, consequential, exemplary, or punitive damages (including lost profits or business interruption), even if advised of the possibility; and


(b) Hireloom’s total aggregate liability arising out of or related to the Platform or these Terms will not exceed the amounts you paid to Hireloom in the six (6) months preceding the event giving rise to liability (or CAD $100 if no payments were made). Some jurisdictions may not allow certain limits; in that case, the limits apply to the maximum extent permitted.

14) Termination & Suspension

We may suspend or terminate access (with or without notice) for actual or suspected violations, illegal or harmful activity, or to protect the Platform, users, or third parties. Upon termination, you remain responsible for fees incurred. You may cancel a subscription by written notice to info@hireloomtalentgroup.com; cancellations take effect at the end of the current term unless otherwise stated.

15) Accessibility & Accommodation

We support accessibility in accordance with applicable laws, including the Accessibility for Ontarians with Disabilities Act, 2005 (AODA). If you require accommodations, contact info@hireloomtalentgroup.com.

16) Disputes, Governing Law & Venue

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable therein. The parties irrevocably submit to the exclusive jurisdiction of the courts of Ontario. Class actions are waived to the maximum extent permitted by law; disputes must be brought in an individual capacity.

17) Changes to These Terms

We may update these Terms from time to time. We will provide notice of material changes (e.g., email or in-product notice). Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
